Sweepstakes Rules:

Entry: NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN THE SWEEPSTAKE. Visit http://www.vivre.com and sign-up to receive correspondences (email or mail) from Vivre, LXR, Women & Wine, Concierge.com, and Beverly Hills Rent-A-Car. Complete and submit the registration for one (1) entry into the Sweepstakes. Limit one (1) Sweepstakes entry per person, per email address. Any attempt by any entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that entrant's entries and that entrant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. In the event of a dispute as to any registration, the authorized account holder of the email address used to register will be deemed to be the entrant. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. The potential winner may be required to show proof of being the authorized account holder. Proof of entry submission will not be deemed proof of receipt by Sponsor. All entries become the exclusive property of Sponsor and will not be acknowledged. Sponsor is not responsible for incomplete or misdirected entries or entries not received.

Entries must be received by 11:59 pm ET on 8/31/08.

Eligibility: Sweepstakes is open to legal residents of the U.S., 18 years or older at time of entry, except employees (and their immediate family members) of Vivre, Inc. (the "Sponsor"). Sweepstakes may only be entered in or from the 50 United States and the District of Columbia, excluding Rhode Island, and entries originating from Rhode Island or any other jurisdiction are not eligible for entry.

Notification: The odds of winning depend upon the number of entries received. Odds of winning are increased by the number of "forward to a friend" emails given by a particular entrant. Winner will be notified by 9/15/2008 to the e-mail address supplied during entry. Prizes are non-transferable and cannot be redeemed for cash. Only the winner, randomly selected by Sponsor may receive the prizes of the Sweepstakes. Winner will be required to sign and return an Affidavit of Eligibility and/or Liability/Publicity Release within ten (10) days of prize notification. If winner is considered a minor in his/her jurisdiction of residence, Affidavit of Eligibility and Liability/Publicity must be signed by his/her parent or legal guardian. If winner cannot be contacted within five (5) calendar days of first notification attempt, if any prize or prize notification is returned as undeliverable, if winner rejects his/her prize, or in the event of noncompliance with these Sweepstakes rules and requirements, such prize will be forfeited and may be awarded to an alternate, who will be randomly selected from all remaining eligible entries.

Sweepstake Prize: One prize ("Prize") will be awarded to one winner and must be redeemed at one time. The Prizes consists of $1500 (retail) worth of pre-selected Vivre product, 3 nights at The London West Hollywood (based on availability), 1 bottle of champagne found in room upon arrival, wine tasting and selection of wines at Wine Valet at Two Rodeo Drive from Women and Wine, and a car rental from Beverly Hills Rent-A-Car. Sweepstake Prize valued at approximately $4,999. Sponsor reserves the right to substitute a prize of equal or greater value if the featured prize becomes unavailable. Sponsor is not responsible for travel to Los Angeles nor responsible for transportation to or from airport. Prize substitutions, transfers or cash equivalent are not allowed. Taxes are the sole responsibility of the winner.

Limitation: Sponsor will not be responsible for lost, late, incomplete, garbled, stolen, illegible, or misdirected entries due to any reason. Entries submitted using any kind of bot or automated technology will be deleted. Entries become property of Sponsor and will not be acknowledged or returned. If for any reason this sweepstakes is not capable of running as planned due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, the Sponsor reserve the right at their sole discretion to disqualify any individual who tampers with the entry process and to cancel, terminate, modify or suspend the Sweepstakes. The Sponsor assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Sponsor are not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any email or entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any website, or any combination thereof, including any injury or damage to participant's or any other person's computer relating to or resulting from participation in this sweepstakes or downloading any materials in this Sweepstakes. In the event of a dispute as to the identity of a winner based on an email address, the winning entry will be declared made by the authorized account holder of the email address submitted at time of entry. "Authorized account holder" is defined as the natural person who is assigned to an email address by an Internet access provider, on-line service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. Sponsor reserve the right at their sole discretion to cancel, terminate, modify or suspend the sweepstakes. The winners are responsible for all applicable taxes and must complete a W-9 form before prize can be received. Participation in Sweepstakes and acceptance of prize constitutes winner's permission for Sponsor to use his/her name, likeness, photograph, biographical information, and/or any statements made by winner for advertising and promotional purposes without notice or additional compensation, except where prohibited by law. By participating, entrants and winner agree to release and hold harmless Sponsor, their advertising and promotion agencies and their respective parent companies, subsidiaries, affiliates, partners, representatives, agents, successors, assigns, employees, officers and directors, from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever including without limitation, property damage, personal injury and/or death which may occur in connection with, preparation for, travel to, or participation in Sweepstakes, or possession, acceptance and/or use or misuse of prize or participation in any Sweepstakes-related activity and for any claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trademark infringement or any other intellectual property-related cause of action.
